 Welcome to MaleBeing Corp. website and mobile app.  These Terms of Use (“Terms”) govern your use of the MaleBeing Corp.’s (“our”) website and mobile app (collectively the “Site”).  Please read the terms in full before using our Site.  By accepting these Terms, or by using our Site, you agree to be legally bound by these Terms, our Privacy Policy, and any other underlying agreements or terms. If you do not agree to these terms, please do not use our Site.  We reserve the right to modify these Terms at any time without prior notice, and your use of the Site binds you to the changes made.  We do occasionally update these terms so please refer to them in the future. 

Access to Site 

You will be able to access our website without having to register any details with us. However, if you wish to use our services, you will have to register an account with us on the website; in order to use our mobile app you will have to download the app and register an account with us. 

Use of Site 

Our Site, images, data, text, audios, videos, photographs, custom graphics, logos, button icons, descriptions and all other material provided, and the collection and compilation and assembly thereof are the exclusive property of MaleBeing, Corp. or its parent, and are protected by U.S. and international copyright laws.  

The contents of our Site may be used for informational purposes only.  Any other use of such contents, including the reproduction, modification, distribution, transmission, republication, display or performance of the contents without our prior written consent is expressly forbidden.  

Any other trademarks or service marks appearing anywhere on our Site are the property of their respective owners.  To the extent any product name or logo does not appear with a trademark (™) does not constitute a waiver of any and all intellectual property rights that MaleBeing Corp. has established in any of its products, features, or service names or logos.

You may not use, reproduce, modify, transmit, display, publish, sell, create derivative works, or distribute by any means, method, or process whatsoever, now known or hereafter developed, any content of this Site for commercial profit or gain.  Nothing in these Terms or on the Site shall be construed as conferring any intellectual property or other proprietary rights to you.  You agree to observe copyright and other applicable laws and may not use the content in any manner that infringes or violates the rights of any person or entity.  We hold all rights to the content on this Site.

As a condition of your use of the Site, you will not use the Site, or any contents or services, for any purpose that is unlawful in any applicable jurisdiction where our Site is being used, or prohibited by these terms, conditions, and notices, and you agree to abide by the terms and conditions set forth in the “User Conduct” section. You may not use the Site contents or services in any manner that could damage, disable, overburden, or impair any of our equipment or interfere with any other party’s use and enjoyment of the Site, or any contents or services.  You may not attempt to gain access to any portion of the Site, or any of its contents or services, other than those for which you are authorized.    

While every effort is made for the timeliness and accuracy of the Site content and services, we make no warranties either express or implied, and assume no liability or responsibility for the completeness, use, accuracy, reliability, correctness, timeliness or usefulness, of any of the results obtained from its use.  

We make no representation or warranty, express or implied, with respect to the content of the Site, or links to other websites, including but not limited to accurateness, completeness, correctness, timeliness or reliability.  We make no representation or warranty regarding the merchantability or fitness for a particular purpose or use with respect to any content or services whatsoever that may be accessed through this Site, or the results to be obtained from using the Site.  We make no representation or warranty that the Site or content is free from defects or viruses.  Your use of external links and third-party websites is at your own risk and subject to the terms and conditions of use for such links and websites.

While every effort is made so that all content provided on the Site does not contain viruses and/or harmful materials, you should take reasonable and appropriate precautions to scan for viruses or otherwise protect your computer or device, and you should have a complete and current backup of the applicable items on your computer or device.  We disclaim any liability for the need for services or replacing equipment or data resulting from your use of the Site.  While every effort is made for smooth and continuous operation, we do not warrant the Site will operate error free. 

By submitting a telephone number to MaleBeing, Corp. you agree that a representative of MaleBeing, Corp. can contact you at the number you provide, potentially using automated technology (including texts/SMS messaging) or a pre-recorded message.  Your consent is not an obligation to receive any of our products and/or services.

Site Uptime

We take all reasonable steps so that our Site is available 24 hours every day, 365 days per year. However, websites do sometimes encounter downtime due to server and other technical issues. Therefore, we will not be liable if this Site is unavailable at any time. 

Our Site may be temporarily unavailable due to issues such as system failure, maintenance or repair, or for reasons beyond our control. Where possible, we will try to give our users advance warning of maintenance issues, but shall not be obliged to do so. 

User Conduct

When using our Site, you shall not post or send to or from either the Site:

(a) content for which you have not obtained all necessary consents;

(b) content that is discriminatory, obscene, pornographic, defamatory, liable to incite racial hatred, in breach of confidentiality or privacy, which may cause annoyance or inconvenience to others, which encourages or constitutes conduct that would be deemed a criminal offense, give rise to a civil liability, or otherwise is contrary to the law in any applicable jurisdiction where our Site is being used;

(c) content which is harmful in nature including, and without limitation, computer viruses, Trojan horses, corrupted data, or other potentially harmful software or data.

We will fully cooperate with any law enforcement authorities or court order requiring us to disclose the identity or other details or any person posting materials to our Site in breach of this Section.   

You shall not use our Site while distracted or preoccupied, such as when operating a motor vehicle.  You should access our Site only with due regard for your own safety and the safety of others. 

Links to and from Third Party Websites 

Any links furnished on our Site may allow you to leave our Site.  These third party websites are not under our control and we disclaim any responsibility for the contents of such linked websites or any link(s) contained in any such linked website(s) or any changes or updates to any of these websites.  We further disclaim any responsibility for any form of transmission received from any linked third party website or advertising.  We provide these links to you as a convenience to you and inclusion of any link herein shall in no way be construed as an endorsement by us of the website(s). 

If you would like to link to our Site, you may only do so on the basis that you link to, but do not replicate, any page of our Site, and subject to the following conditions:

(a) you do not in any way imply that we are endorsing any services or products unless this has been specifically agreed with us;

(b) you do not misrepresent your relationship with us or present any false information about us;

(c) you do not link from a website that is not owned by you; and

(d) your website does not contain content that is offensive, controversial, infringes any intellectual property rights or other rights of any other person or does not comply in any way with the law of the United States of America.

If you choose to link our Site in breach of this Section, you shall fully indemnify us for any loss or damage suffered as a result of your actions.

Chatbots and Generative AI Use on the Site

The Site may include a chatbot or other features powered by generative artificial intelligence (the “AI Feature”). The AI Feature does not provide professional services. The Site and AI Feature do not provide, and are not a substitute for, medical advice, mental health advice, psychiatric care, psychological treatment, counseling, psychotherapy, or any other professional advice or services. Do not use the Site or AI Feature to diagnose, treat, cure, or prevent any disease or health condition. If you believe you may need professional support, seek help from a qualified professional. The Site and AI Feature are not designed for use in emergencies and do not provide crisis services. If you are in immediate danger, experiencing a medical emergency, or considering self-harm or harm to others, call local emergency services immediately. If you are in the United States, you can call or text 988 (Suicide and Crisis Lifeline) or 911. If you are outside the United States, contact your local emergency number or a local crisis hotline. Generative AI can produce outputs that are incorrect, incomplete, misleading, or not suited to your situation. Do not submit personal information that you do not want processed through the Site. The Site’s collection and use of information is governed by the Privacy Policy, To the extent permitted by law, you acknowledge that communications with the AI Feature may not be treated as privileged or confidential in the same way as communications with a licensed professional. The Site may offer automated systems, filters, or human review to improve safety and quality, but the Site is not required to monitor all content or detect all harmful or unsafe situations. To the maximum extent permitted by law, the Site will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of the Site or AI Feature, including reliance on AI outputs, relationship outcomes, or communications you create or send using the Site. The Site’s training is intended for adults. By using the Site, you represent that you are at least the age of majority in your jurisdiction. If the Site is offered to users under the age of majority, additional parental consent terms should apply.

The AI Feature may be designed to respond in a supportive or empathetic style. You understand that generative AI systems can sometimes prioritize agreeableness or user satisfaction and, as a result, may over-accommodate, speculate, or produce guidance that is inaccurate, inappropriate, or not suited to your circumstances. You agree not to treat any output as a definitive statement of fact or as professional guidance.

The Site is intended to support relational training and communication skills in alignment with MaleBeing’s values and method. Any supportive language provided by the Site or AI Feature is not intended to validate unsafe, unlawful, abusive, or harmful conduct, and it should not be interpreted as approval of such conduct. Support is not appropriate in every situation and will not be provided at any cost, including where safety, ethical clarity, or responsible standards require different action.

To promote user safety and responsible use, the Site may limit, refuse, or terminate AI Feature responses for certain topics or situations, and may direct you to professional resources.

Mandatory Reporting and Safety Disclosures

While the Site is not an emergency or crisis service, MaleBeing may take steps it considers appropriate to help protect users and others from serious harm. If you submit information that reasonably suggests a child or other vulnerable individual may be at risk of abuse, exploitation, or neglect, or that there is a credible risk to the safety or life of any person, MaleBeing may, to the extent permitted by law, report relevant information to law enforcement, child protection agencies, adult safeguarding authorities, emergency services, or other appropriate third parties. You understand that MaleBeing may also use or disclose information as reasonably necessary to address imminent harm, to comply with legal obligations or lawful requests, or to enforce these Terms.

Right to End or Limit Chatbot Conversations

MaleBeing is intended to support self-reflection and the development of healthy interpersonal communication skills. You agree to use the Site and the AI Feature in alignment with the ethical guidelines set out in these Terms. MaleBeing may, at any time and in its sole discretion, limit, pause, refuse, redirect, or terminate any conversation or other communications through the AI Feature if MaleBeing believes your use may be unsafe, unlawful, abusive, exploitative, or otherwise inconsistent with these ethical guidelines. MaleBeing may also provide a safety message, direct you to appropriate resources, or restrict access to certain features.

Ethical Guidelines for Use of the Site 

By using our Site, you acknowledge and agree to the following ethical guidelines: 

1. Core expectations

You agree that you will:

1. Use the Site for growth and skill-building. Use MaleBeing to improve your communication, self-awareness, and relationship skills through reflection and practice.

2. Act with honesty and accountability. Use the Site in a way that supports truthful communication and personal responsibility rather than blame-shifting or deception.

3. Respect autonomy and consent. Do not use the Site to pressure, coerce, or control another person’s choices, boundaries, or consent.

4. Prioritize safety and non-violence. Do not use the Site to plan, threaten, or facilitate harm to yourself or anyone else.

5. Respect privacy and dignity. Do not share or request sensitive personal data about others that you do not have the right to disclose. Do not use the Site to humiliate, harass, or intimidate.

2. Prohibited or disallowed uses 

You may not use the Site or the AI Feature to:

1. Weaponize empathy. Using caring language, vulnerability, or “support” to lower someone’s defenses in order to control, punish, or extract compliance.

2. Refine gaslighting. Seeking language or strategies to make another person doubt their memory, perception, sanity, or reality.

3. Use therapy language to manipulate. Using clinical terms or “healing” language as a tool to label, pathologize, dominate, or win arguments rather than to understand and connect.

4. Coerce through emotional blackmail. Using guilt, threats of abandonment, threats of self-harm, or other pressure tactics to force a desired outcome.

5. Seek revenge through legal or administrative systems. Requesting help to harass, punish, or intimidate someone through reporting, legal threats, filings, or complaints rather than pursuing legitimate good-faith resolution. MaleBeing does not help with harassment, vexatious conduct, or misuse of systems.

6. Groom, exploit, or sexualize minors. Any attempt to groom, exploit, solicit, or sexualize minors is strictly prohibited.

7. Exploit or harm vulnerable individuals. Seeking strategies to exploit or control a vulnerable person, including dependent adults, elders, or people with impaired capacity.

8. Craft narratives to avoid accountability. Asking for scripts or stories designed to deceive, conceal wrongdoing, shift blame, or evade consequences.

9. Attempt to conceal, normalize, or enable abuse. Seeking advice on hiding abuse, avoiding detection, intimidating a partner or family member, or making harmful conduct appear acceptable.

10. Seek scripts instead of transformation. Using the Site primarily to obtain “perfect lines” to win, dominate, or bypass genuine reflection, repair, or change.

11. Intellectualize to dismiss others’ emotions. Seeking language to invalidate, minimize, or shut down another person’s feelings or lived experience.

12. Harass or stalk. Seeking help to surveil, contact repeatedly against wishes, track, threaten, or otherwise engage in stalking or harassment.

13. Facilitate violence or illegal conduct. Requesting instructions, planning assistance, or encouragement for violence, criminal activity, or unlawful wrongdoing.

If MaleBeing detects or suspects any of the above, it may:

• Stop the conversation and refuse to provide the requested content.

• Provide a corrective prompt focused on safe, ethical alternatives.

• Display a safety message and direct you to appropriate professional or crisis resources when relevant.

• Restrict access to features, suspend accounts, or terminate access to the Platform.

By using the Site, you acknowledge that MaleBeing is designed to support healthier relationships through increased self-reflection and clear, respectful communication. You agree not to use the Site to manipulate, coerce, exploit, or harm yourself or others.

Limitation of Liability

YOUR USE OF OUR SITE IS ENTIRELY AT YOUR OWN RISK. WE WILL NOT BE RESPONSIBLE TO YOU OR TO ANY THIRD PARTIES FOR ANY DIRECT OR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OR LOSSES OR INJURY YOU MAY INCUR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SITE OR THE SERVICES AND/OR PRODUCTS, OR YOUR RELIANCE ON OR USE OF THE SITE, THE INFORMATION, PRODUCTS OR SERVICES PROVIDED, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETIONS OR ANY FAILURE OF PERFORMANCE, OR ANY OF THE DATA OR OTHER MATERIALS TRANSMITTED THROUGH OR RESIDING ON OUR SITE, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF WE HAVE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS. 

Indemnification

You agree to defend, indemnify, and hold us, our officers, directors, employees, volunteers, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from or alleged to result from, your use of and access to the Site or your violation of these Terms or your violation of any third party right, including without limitation any trademark, copyright or other proprietary or privacy right.

Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you.

Applicable Law 

We make no representations that the content or the Site is appropriate or may be used or downloaded outside the United States. Access to the Site and/or the content may not be legal in certain countries outside the United States.  If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of the jurisdiction from which you access the Site. 

Our Site is created and controlled by the State of Delaware, United States of America.  The Site, and its contents, and any disputes arising therefrom shall be construed and interpreted under the laws of the State of Delaware, and applicable United States federal laws.  Use of our Site constitutes agreement of the user to the jurisdiction of the state and federal courts located therein.

Our Site is subject to the United States export control laws and regulations, and may be subject to export or import regulations in other countries. You agree to strictly comply with all such laws and regulations and acknowledge that you have the responsibility to obtain authorization to export, re-export, or import of any data on our Site, as may be required.

Arbitration and Class Action Waiver

Any dispute, claim or controversy arising out of or relating to these Terms of Use or our Privacy Policy, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Wilmington, Delaware, before one arbitrator. All disputes, including the arbitrability of any issue or dispute, shall be decided by the arbitrator. The arbitration shall be administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. MaleBeing, Corp. shall bear arbitration-related fees and expenses, including the fees of the arbitrator and JAMS’ administrative fees, but not your attorney’s fees. The language to be used in the arbitral proceedings will be English. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

 

MaleBeing, Corp. and you waive any right to join or consolidate disputes by or against others as a representative or member of a class, to obtain relief in any arbitration in the interests of the general public, or to act as a private attorney general. If any provision related to this section is found to be illegal or unenforceable, then such provision shall be severed from the arbitration clause (“Arbitration”), but the rest of the arbitration clause shall remain enforceable and in full effect.

 

MaleBeing, Corp. or you each can exercise any lawful rights or use other available remedies to:

• Preserve or obtain possession of property;

• Exercise self-help remedies, including setoff rights; or,

• Obtain injunctive relief (including public injunctive relief), attachment, garnishment, or appointment of a receiver by a court of competent jurisdiction.

The substance of any disputes where public injunctive relief is available shall be decided by the arbitrator. Only if the claimant succeeds on its claim permitting the remedy of a public injunction may such claimant request that a court of competent jurisdiction enter an injunction in conformity with the arbitral award.

General

These Terms, together with the Privacy Policy, other terms or legal notices published by us on the Site, and any other applicable agreements, shall constitute the entire agreement between us concerning use of the Site.  If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.  No waiver of any term shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
